(hereinafter “Claime”).
These Terms are intended for business users of the Claime service and do not directly govern the terms on which their end users use individual loyalty programmes.
1. The Claime service and validity of the Terms
Claime is a digital platform that enables business users to set up and manage loyalty programmes and the associated digital cards, rewards, promotions, communications, notifications, analytics, integrations and other functionalities.
The range of functionalities depends on the selected plan and the current version of the service. Claime may develop and update the service and add, change or discontinue individual functionalities, provided that in doing so it does not, without a justified reason, materially interfere with use of the service that has already been paid for.
These Terms, together with the selected plan or order and, where relevant, the Data Processing Agreement (DPA), constitute the contractual relationship between Claime and the business user.
The Privacy Policy contains information on the processing of personal data in which Claime acts as an independent controller.
A person who accepts the Terms on behalf of a company or other organisation confirms that they are duly authorised to do so.
The contract is concluded when the business user accepts these Terms, successfully places an order or activates a user account, and Claime enables it to use the service or confirms the order.
Before an order is placed, the essential elements of the order are displayed to the business user. The business user must be given the opportunity to check and correct the data entered.
Before the contract is concluded, the contractual provisions and these Terms are available in a form that allows them to be stored and reproduced.
Information on the technical steps for concluding the contract, the possibility of correcting errors, the storage of the contract and the languages in which the contract can be concluded is provided to the business user during the ordering process.
2. User account
To use certain functionalities, the business user must create a user account.
The business user must provide correct and up-to-date information and look after the security of its login credentials.
It is responsible for activities carried out through its account or through the accounts of persons to whom it has granted access.
If it detects unauthorised access or another security issue, it must notify Claime without undue delay.
It must not make the account available to persons who are not entitled to use the service on its behalf.
3. Plans, prices and payments
The functionalities, price, billing period and other terms of each plan are stated on the Claime website or at the time of ordering.
Prices clearly state whether they include VAT.
Payment is made in the manner shown at the time of ordering.
If it is stated that the subscription renews automatically, it renews for each subsequent billing period until the business user cancels it.
The business user may cancel the subscription at any time; as a rule, the cancellation takes effect at the end of the billing period already paid for.
Unless expressly provided otherwise or a refund is required by applicable law, a subscription fee already paid for a billing period that has begun is non-refundable.
If a payment falls due and is not settled, Claime may, after prior warning, restrict or temporarily disable access to paid features and charge statutory default interest in accordance with applicable law.
Any free trials, promotional offers and special plans are subject to the terms shown upon their activation.
4. Responsibility of the business user
The business user itself determines the rules of its loyalty programme, the conditions for earning and redeeming benefits, the content of offers, rewards and promotions, and the manner of communicating with its customers.
The business user is responsible for ensuring that:
- its loyalty programme, offers, rewards, promotions, content and communications meet the requirements of applicable law;
- it provides its customers with the necessary loyalty programme terms and information on the processing of personal data;
- it honours the promised rewards, discounts and other benefits;
- it holds the necessary rights to the logos, photographs, texts and other content it enters into Claime;
- it collects and uses its customers' personal data lawfully;
- it ensures that the necessary notices are given and that appropriate legal bases are in place where the law requires them;
- it carries out direct marketing only in accordance with applicable law.
The business user is in particular responsible for the lawfulness of the communications it sends to its customers through Claime, including push notifications, promotional messages, offers and, where relevant, location-triggered notifications.
Where the law requires the prior consent of the individual, the business user must ensure that direct marketing is carried out only on the basis of valid consent.
As part of the service, Claime may provide a technical mechanism for obtaining, recording and withdrawing such consent. The business user, as controller, remains responsible for the lawfulness of the purpose of processing, the content of communications and the use of direct marketing functionalities in accordance with applicable law.
Refusal or withdrawal of consent to promotional messages must not in itself prevent use of the basic loyalty programme where such promotional communication is not necessary for the operation of the programme.
If the business user uses functionalities relating to an individual's location, it is responsible for the lawfulness of their use and for ensuring that the necessary information is provided and the necessary legal bases are in place.
Claime provides a technology platform and is not the organiser, seller or provider of the business user's rewards, products or services.
As a rule, disputes between the business user and its customer concerning the loyalty programme, a purchase, a reward, a discount or another offer are resolved by the business user and its customer.
The business user must not use the service for unlawful, misleading, fraudulent or harmful purposes.
The following are prohibited: interference with the security or operation of the platform, attempted unauthorised access, distribution of harmful software code, unauthorised copying or resale of the service, and use of Claime in a manner that infringes the rights of third parties.
The business user must not enter any of the following into Claime: special categories of personal data under Article 9 GDPR, payment card data, passwords for other services or other data for which the Claime service is not intended, unless Claime expressly approves such processing in writing in advance and appropriate legal and security measures are in place.
In the event of a serious or repeated breach, Claime may temporarily restrict or interrupt use of the service.
5. Operation of the service and external services
Claime endeavours to ensure reliable and secure operation of the platform, but does not guarantee uninterrupted or completely flawless operation.
Temporary interruptions may be necessary due to maintenance, updates, security reasons or events beyond Claime's reasonable control.
Certain functionalities may be based on third-party services, such as Apple Wallet, Google Wallet, and providers of hosting, communication services, payment services or other integrations.
Claime does not control such external services and cannot guarantee their continuous availability or unchanged operation.
Changes to external platforms may affect Claime's functionalities.
When using external services, the business user must also comply with their terms, where relevant.
Claime does not guarantee any particular business result, an increase in sales, visits or customer loyalty, or the success of promotional campaigns.
6. Limitation of liability
Claime is liable for the provision of the service in accordance with these Terms and applicable law.
To the maximum extent permitted by applicable law, Claime is not liable for damage arising from:
- the content or rules of the business user's loyalty programme;
- the conduct of the business user or its customers;
- unlawful or improper use of the platform;
- the failure of, or changes to, external services;
- circumstances beyond Claime's reasonable control;
- lost profit, lost business opportunities or other indirect business damage.
Unless otherwise provided by law, Claime's total liability for damages arising from use of the service does not exceed the total amount of subscription fees paid by the business user concerned to Claime in the twelve months preceding the event giving rise to the claim.
The limitations do not apply where liability may not be limited or excluded under mandatory law, in particular in cases of intent or gross negligence.
No provision of these Terms affects the rights of data subjects or the powers of supervisory authorities under applicable personal data protection law.
7. Intellectual property and data
The software, design, trademarks, systems, documentation and other elements of Claime are protected by the intellectual property rights of Claime or its licensors.
Payment of the subscription fee grants the business user a limited, non-transferable and non-exclusive right to use the service for the duration of the subscription.
The business user retains the rights to the data and content it enters into Claime.
For the period during which the service is provided, the business user grants Claime a limited, non-exclusive right to host, technically reproduce, process, display and transmit the business user's content to the extent necessary to provide the service.
Claime may process personal data to the extent set out in the Privacy Policy or the DPA.
For statistics, analytics and the development and improvement of the service, Claime may use appropriately anonymised or aggregated data from which no individual can be identified.
Where Claime processes personal data of the business user's customers on behalf of the business user, such processing is governed by the DPA.
8. End of use and transfer of data
The business user may cancel the subscription in accordance with these Terms.
Claime may temporarily restrict the account or terminate the contract if the business user materially breaches these Terms, fails to settle obligations that have fallen due, uses the service unlawfully, or its use poses a significant security or legal risk.
Where circumstances permit, Claime warns the business user before termination and gives it an appropriate period to remedy the breach.
Claime may also cease to provide the entire service or a substantial part of it for business or technical reasons. In such a case, as a rule, it notifies the business user at least 30 days in advance and refunds it the proportionate part of the subscription fee for the unused part of the period already paid for.
Where the European Union rules on switching between data processing services apply to the service, the business user may, when the contract ends, request the transfer of its exportable data to another provider or to its own IT environment, or their erasure.
Claime enables such a transfer without undue delay and within the time limits laid down by applicable law. The notice period for initiating the switching process does not exceed two months, and the usual transitional period does not exceed 30 calendar days, unless applicable law permits a longer period.
Depending on the functionalities used, exportable data may include, in particular, business account data and settings, the loyalty programme configuration, card and offer content, end user identifiers, records of points, stamps, visits, rewards and other activities, data on communications and directly related metadata.
Exportable data do not include data relating exclusively to the internal operation of Claime, such as source code, proprietary algorithms, internal architecture, security information and other data whose disclosure could interfere with Claime's trade secrets or rights, provided that their exclusion does not prevent or unduly hinder the transfer.
Claime provides exportable data in a structured, commonly used and machine-readable format where required by applicable law.
After the switching process is completed, the business user has at least 30 calendar days to retrieve the exportable data. After this period expires, Claime may erase the data, unless the law requires their further retention or it has been agreed otherwise.
Any costs of the switching process may be charged only to the extent permitted by applicable law.
9. Changes to the Terms, governing law and contact
Claime may amend these Terms because of changes in legislation, the development of the service, security requirements or business reasons.
As a rule, Claime notifies the business user of material changes affecting the business user's rights or obligations at least 15 days before those changes begin to apply, unless an earlier change is necessary due to a legal, security or other urgent requirement.
If the business user does not agree with a material change, it may terminate the subscription before the change enters into force.
The contractual relationship is governed by the law of the Republic of Slovenia.
Claime and the business user will first attempt to resolve any disputes amicably. If this is not possible, the court with subject-matter jurisdiction at Claime's registered office is competent to resolve disputes, unless mandatory law provides otherwise.
If any provision of these Terms is invalid or unenforceable, this does not affect the validity of the other provisions.
If individual terms of an order or of a separately concluded contract differ from these Terms, the separately agreed terms prevail.
With regard to the processing of personal data, the DPA prevails in the event of any inconsistency.
